World Klub Terms and Conditions

These Terms & Conditions constitute a legally binding Agreement between you and World Klub (including the website's owners and agents). Terms used in this Agreement such as "us", "we", or "our" mean World Klub (including the website's owners and agents).

"Users" means World Klub Members (Standard or VIP) and all other individuals accessing our website for whatever purpose.

"Our Services" means a part of or all of our services provided on, through or via this website.

"Registered User" means a user of our website with a current Standard or VIP membership.

"Group Moderator" means the registered user who formed a Discussion Group on our website or any other registered user nominated by the person who formed a Discussion Group to moderate and carry out the purpose and the functions of the group formation.

"Group" means a discussion Forum consisting of registered users who form or join for a common purpose of discussing a topic of interest to them.

"Event Organiser" means the registered user who registered an Event on our website or any other registered user nominated by the person who registered an Event on our website to organise, book or oversee a registered Event organised though our website.

"Event" means a physical get together/function organised by one or more registered users who invite other registered users of our website for the purpose of business networking.

These Terms & Conditions constitute a legally binding Agreement between World Klub (including the website's owners and agents) and you (user and/ or registered user). The Agreement comes into force when you create a profile on our website and we accept your offer by way of activation of your membership. Your access to this website (www.worldklub.com) and your use of any and all services provided through this website constitutes your acceptance of and your compliance with the provisions listed in these Terms & Conditions. In order to become a member of World Klub, you must read and accept all of our terms and conditions and our Privacy Policy. These provisions may change from time to time and the responsibility rests with you to check any such updates.

Creation of a Membership with World Klub or use of World Klub website are taken to be an acceptance of all of our Terms & Conditions and our Privacy Policy regardless of whether you have formally agreed to our Terms & Conditions and our Privacy Policy by clicking on "I agree" or otherwise. Membership Eligibility

By joining or becoming a member (Standard or VIP), you agree that you are at least 18 years of age. You must not register on our website if you are under 18 years old.
When registering as a member (Standard or VIP) of World Klub, you must provide us with accurate, complete and up-to-date information as requested. It is your responsibility to inform us of any changes to that information. You may do this at any time by accessing your World Klub Account.
You agree that you will create only one World Klub membership profile for yourself. You must not create multiple member profiles or create profiles in other people's names.
We agree that all your personal information you provide to us will be treated in accordance with our Privacy Policy.
You agree that if you are in breach of any of the points 1-3 above, you will immediately notify us of your breach and will refrain from accessing our website;
You agree that by breaching points 1-3 above, you may be subject to legal action under domestic or international law.

Our Services

World Klub offers two types of membership to the registered users, namely Standard Membership (free membership) and VIP Membership (Paying Membership). The Standard membership and the VIP membership have certain things in common. They allow the registered users to:

Access our website;
Register on our website;
Complete their profile on our website (VIP members only have the right to create a full profile);
Upload a photo of themselves on our website;
Search, browse and locate other users on our website (non-registered and Standard Members can do this as well but are limited in doing so)
Request to be connected to other registered users on our website;
Receive requests to be connected with other registered users on our website;
Send messages to other users on our website (VIP members only);
Receive messages from other registered users on our website;
Create events (networking) for the purpose of building up their business networks (limited in number for Standard Members only);
Create groups (networking and discussion) for the purpose of discussing network and business related issues with other registered users on our website (limited in number for Standard Members only);
Invite other non-registered users such as family and friends via our website;
Manage their contacts;
Edit their profiles, including all the information provided when registering on our website;
View and change their account information, including but not limited to their credit card details;
Create a list of confirmed/ unconfirmed contacts on our website;
Expand their business network on our website.

The services offered to VIP members are more extensive and include:

The ability to send unlimited number of messages to other members;
The ability to use all profile/ member search options;
The ability to create an unlimited number of Events;
The ability to create an unlimited number of Groups;
The ability to complete a full profile with all contact details.

The purpose of World Klub is simply to provide a platform for its registered users to use the services and carry out processes listed above. Any other use of our website for any other purpose other than the purposes outlined above requires a written permission from World Klub (and its owners and agents).

Given the limited function of World Klub you agree that World Klub (including its owners and agents) has the right to but is not obliged to take part in any communication between users including but not limited to:

Exchange of messages;
Exchange of contact requests;
Group discussions
Event discussions.

Furthermore, you agree that World Klub (including its owners and agents) are not responsible for the proper functioning of Groups created by other registered users, timely delivery and effective and efficient organization of Events organised by other registered users.

Group Moderators and Event Organisers are free to invite, choose, accept and permit access to and participation in their Groups and at their Events. You agree that World Klub (including its owners and agents will not be responsible for direct, indirect, special, incidental damages, personal injury, illness, loss of anticipated earnings, profits, goodwill, reputation, business records, or contracts, resulting from your inability (in whatever form) to access or participate in any Groups or at any Events.

The owners and agents of World Klub may from time to time form their own Groups and organise their own Events. You agree and acknowledge that you participate in any Groups formed by World Klub's owners and agents and attend any events at your own risk. Physical events may be subject to and governed by additional Terms & Conditions.

World Klub agrees to use its best endeavours to ensure that www.worldklub.com is available online as much as possible. However, you agree and acknowledge that it is impossible to achieve a 100% availability. You also agree and acknowledge that there may be other disruptions to the service provided by World Klub, which are beyond World Klub's control. You agree not to hold World Klub (including its owners and agents) liable for any direct, indirect, special, incidental damages, personal injury, illness, loss of anticipated earnings, profits, goodwill, reputation, business records, or contracts, resulting from our inability whether direct or indirect to provide our services in a timely and competent manner.

Pricing and Termination of Services

The pricing of VIP Memberships will always be available on www.worldklub.com. Unless expressly stated on our website the price quoted for VIP Membership is GST (Goods & Services Tax) inclusive. If the GST does not apply to you, you will be charged the quoted amount minus 10% GST, that is you will be charged for our services GST exclusive at the time of taking out VIP membership.

World Klub (including its owners and agents) reserve the right to change the pricing including but not limited to the pricing structure. Payments for the VIP membership become due immediately upon invoicing. You agree that World Klub will be entitled to withdraw and use the full amount paid immediately upon invoicing and processing of payment.

If you disagree with the pricing or the pricing structure chosen, you are entitled to discontinue your membership at any time and receive a refund for the unused portion of your membership. The unused portion of your membership will be calculated and refunded on the basis of how many days are left to the expiry of your membership. The formula used is as follows:

(price of annual service) x (by number of days to the expiry)

Refunds for discontinuation of service will always be calculated on the basis of the above formula regardless of the motive of your decision to discontinue your VIP membership. If you decide to discontinue your VIP membership, you agree to notify World Klub of your decision in writing (either by email, fax, postal service, courier service etc) In case of notification by non-instant form of delivery, the date of your correspondence will be used to calculate the days remaining to the expiry of your VIP membership.

You can also discontinue your membership for any other reason and without explanation by notifying World Klub of your decision in writing (either by email, fax, postal service, courier service etc) In case of notification by non-instant form of delivery, the date of your correspondence will be used to calculate the days remaining to the expiry of your VIP membership and a refund for the unused days of membership will be issued on this basis.

We reserve the right to, without limitation, do any or all of the following in relation to your membership (Standard and VIP):

suspend your membership;
modify your member profile;
terminate your membership immediately without notice to you if you have committed a breach of our Terms & Conditions;
deactivate your membership if you have not used World Klub for a period of 6 months or more (calculated from the date of your last use);
permanently or temporarily hide all or part of your member profile;
terminate your membership for any reason by providing notice to you by email;
permanently or temporarily block your access to all or part of World Klub.

If your membership (Standard or VIP) was suspended or terminated by us due to a violation of these Terms & Conditions, we reserve the right to refuse to issue a refund to you for the unused portion (days to the expiry) of your membership.

User Conduct

By interacting through World Klub as a user and by using our services including but not limited to gaining access through or making use of our website, you agree not to post or transmit or otherwise publish any content to any other user or yourself that:

is unlawful, obscene, defamatory, indecent, offensive or inappropriate;
is false or misleading in any way;
stalks or harasses anyone;
disguises your true identity;
is an unsolicited promotional email, message, or correspondence where no prior written permission was obtained from the recipient;
falsely suggests your connection or affiliation with another person or entity past or present;
infringes the rights of any third party;
you do not have a right to make available under any law or contractual obligation;
is sexually explicit or contains sexual references;
contains pictures of children under the age of 18;
contains pictures of animals;
contains pictures that misrepresent your identity;
is protected via a fiduciary relationship and cannot legally be disclosed because it was obtained as part of the existence of a fiduciary relationship between yourself and a third party;
contains restricted or password only access pages, or hidden content; or
contains viruses, or other computer codes, files or programs designed to interrupt, limit or destroy the functionality of other computer software or hardware;
is unsolicited or unauthorised such as junk mail, spam, chain letters, pyramid schemes or any other form of solicitation whether existing or unknown;

Without limiting the above you agree that:

We are not responsible for, and accept no liability with respect to, any Content transmitted or posted on World Klub, or otherwise transmitted to any member of World Klub by any other means, by any person.
We reserve the right, but have no obligation, to review Content transmitted or posted on World Klub, or (where possible) otherwise transmitted to any member of World Klub by any other means.
Without limiting your responsibilities under the World Klub Terms & Conditions, we reserve the right to modify and/or remove any content that, in our opinion, violates the World Klub Terms & Conditions or otherwise has the potential to harm, endanger or violate the rights of any person.

Without limiting the above you agree that you will not:

promote, or provide information about, illegal activities or conduct;
promote racism, bigotry, hatred, harassment or any kind of harm against any group or individual;
solicit money, passwords or personal information from any person.
use any robot, spider, crawl or other devices or processes to retrieve, index, or in any way reproduce or circumvent the navigational structure or presentation of World Klub;

Given the global nature of the Internet and this particular site, you agree and acknowledge that by using our website you will comply with all applicable local as well as international laws. You particularly agree to comply with all applicable local laws of your country if they are more stringent than the international laws.

World Klub Communication

All information collected through this website is stored either in electronic form on the computers owned and operated by World Klub (including its owners and agents) or in hard-copy form on our files. The information is used to provide and improve our services. It may also be used to contact you with the aim of informing you about the website content, providing you with our newsletter or notifying you about your account related issues or notifying you about contact requests and messages sent to you via our website by other registered users. We may also contact you to inform you of other things that we think may be of interest to you. You agree that this form of contact is necessary for the normal functioning of the World Klub Services.

By submitting your details and your email address to us, you opt-in to receiving our emails, news, updates, contact requests, newsletters and message notifications that we may send to you from time to time. If at any time you no longer wish to receive any information from us via email, you may tell us so by sending us an email or by modifying the settings of your registered user account. Once we have received your email or you have changed the settings in your profile, we will act in accordance with your changes and new settings.

Secure Access and Use of Our Services

You agree that World Klub (including its owners and agents) have the right to, but are not obliged to monitor and control the content on this website. While we are not obliged to monitor and control the content on this website, we strive to do so in the interest of our registered users. If you come across content that you may find offensive or objectionable you agree to notify us immediately of this violation of our Terms & Conditions. We agree to investigate your complaint and take any action that we believe is appropriate. World Klub (including its owners and agents) reserve the right to take no action if we believe that the complaint is not justified. You agree and acknowledge that World Klub (including its owners and agents) will not be responsible for any direct, indirect, special, incidental damages, personal injury, illness, loss of anticipated earnings, profits, goodwill, reputation, business records, or contracts, resulting from our refusal or inability to take any action in respect of your complaint (whether justified or not), and our refusal or inability to deal with the complaint (whether justified or not) in a timely and competent manner. If you are experiencing problems with another member (Standard or VIP) or if you would like to make a complaint about a member's conduct or content, which you may find offensive or objectionable, please notify us in writing either by sending us an email or by using the "Report a Violation" button in your profile.

Information Provide by Registered Users and Right to Contents

As part of the use of our services and in the course of use of our services, the registered users provide certain information. This information includes but is not limited to:

Personal information about the user;
Personal details relevant to the registered user;
Registered user's photo(s);
Business details relevant to the registered user;
Content and personal opinions provided in the course of registered user's participation in Groups/ Forums including but not limited to registered user's articles, comments and responses to discussions etc.

You agree and acknowledge that, by providing your personal and business information on our website, or by creating a profile on our website or by providing personal and business information about yourself on our website or by posting your personal and business information or your opinions, comments, articles and responses in the Forums and Groups, you are granting World Klub unlimited, royalty-free, irrevocable, and assignable licence to use for any purpose any and all of the information you provide via our website. You agree and acknowledge that we have the right to use the information for any purpose that we may see fit. World Klub (including its owners and agents) reserves the right not to have to remove the information provided by yourself (provided in any form and through any means) even if you have discontinued your membership and have ceased to be a part of the World Klub community. Consequently, World Klub has a right to use further any and all of the information you provide including but not limited to all your contributions to discussions arising from your memberships in Groups on our website. In addition, you also agree and acknowledge that we have the right to use any or all of the information you provide to market you or your services to other registered users.

Right to Changes

You agree and acknowledge that World Klub (including its owners and agents) have the unlimited right to change and modify the services offered on our website at any time and without further notice to you. You also agree and acknowledge that those changes may result in the provision of services, which differ from those offered at the time of your registration at our website. World Klub agrees to only affect changes, which are not obviously and without doubt unreasonable for the majority of registered users.
